Terms of Service

These Terms govern your access to and use of Scaler Pro's products and services. By creating an account or using the service you agree to these Terms.

1. Service

Scaler Pro provides software for creator-economy agencies, including operational panels (Instagram, Threads, X, Reddit), add-on products (HQ, ContentForge, ModelForge, DirectHer), and an account portal. Specific features available to you depend on the plan you purchased.

2. Eligibility & Acceptable Use

  • You must be at least 18 years old and authorized to bind your organization to these Terms.
  • You will use the service in compliance with all applicable laws and the terms of every third-party platform you operate on.
  • You will not use the service to facilitate harassment, fraud, illegal content, or activities that violate the rights of others.
  • You are solely responsible for the content and conduct of any creator or model accounts you operate.

3. Your Account

You are responsible for safeguarding your account credentials. You will notify us immediately of any unauthorized access. We may suspend accounts to investigate suspected breaches.

4. Subscriptions, Billing, Trials

  • Plans renew automatically until cancelled. You can cancel at any time from the Account Portal.
  • Trial plans convert to paid at the end of the trial period unless cancelled.
  • Fees are exclusive of taxes; you are responsible for all applicable taxes.
  • Refunds are at our discretion unless required by law.

5. Intellectual Property

We own the platform, its source code, and all trademarks and content we publish. You retain ownership of all data you upload (“Customer Data”). You grant us a non-exclusive, worldwide license to host, process, and transmit Customer Data only as necessary to provide the service.

6. AI Outputs

Our AI agents (Sonnet, Opus, ModelForge) generate outputs based on your inputs and configuration. You are responsible for reviewing and approving AI outputs before publication. AI outputs may be inaccurate; do not rely on them for legal, medical, or financial decisions without independent verification.

7. Service Availability

We target 99.97% uptime measured monthly. Scheduled maintenance is announced at least 24 hours in advance. Force majeure, third-party platform outages, and customer-induced incidents are excluded from SLA calculations.

8. Termination

Either party may terminate for material breach with 30 days' notice. We may terminate immediately for non-payment, prohibited use, or suspected security threats. On termination we will retain your data for 90 days for export, then delete it.

9. Disclaimers & Limitation of Liability

The service is provided “as is.” To the maximum extent permitted by law, we disclaim all implied warranties. Our aggregate liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware (USA), without regard to conflict-of-law principles. Disputes will be resolved by binding arbitration in Wilmington, Delaware, except either party may seek injunctive relief in court.

11. Changes

We may update these Terms. Material changes will be announced 30 days in advance. Continued use of the service after the effective date constitutes acceptance.
